1. Who we are and scope These Terms apply to applications for and use of the Stock Arabia business dropshipping and third-party logistics portal. The contracting operator is Stock Arabia · 11245, with registered address Warehouse # 4, 13th St. Al Khabaisi, Deira, Dubai. Contact: info@stockarabia.com. You must be at least 18 and authorized to act for the business applying.

2. Applications and activation Submitting an application is not acceptance of your business, a stock reservation, credit approval or a promise of services. We may verify identity, business information, product compliance and operating requirements. Services start only after approval and agreement on the applicable service schedule. Keep your information accurate and tell us about material changes.

3. Your account and connected stores Protect passwords, authenticator devices and recovery codes, restrict staff access and report suspected misuse promptly. You are responsible for authorized activity by your team and for having permission to connect Shopify, WooCommerce or other systems and share order/customer information. Disconnecting a store does not cancel accepted orders or erase required records.

4. Products and ownership You are responsible for lawful products, accurate descriptions, intellectual-property rights and required permits. Do not submit prohibited, counterfeit or unsafe goods. Inventory may belong to you, Stock Arabia or a supplying party as documented in the inventory records and service agreement. Storage or fulfilment of your stock does not transfer its ownership to us. Products bought or sourced on request are subject to agreed procurement terms and availability; catalogue display is not a guarantee of stock or profit.

5. Orders, delivery and returns Provide accurate addresses, contact details, prices and order instructions. Acceptance, fulfilment, dispatch, tracking, delivery and return events are separate operational stages. Delivery targets are estimates unless expressly guaranteed in writing. Couriers may have restrictions, delays or failed attempts. Report discrepancies promptly with supporting evidence; the service schedule specifies claim windows, inspection and return procedures. RTO processing may incur the agreed return and handling charges.

6. Charges, inventory costs and taxes The accepted client-specific service schedule governs charges, inventory purchase costs, applicable taxes, payment terms and billing triggers. Estimates are not final invoices. Changes to commercial terms require the agreed notice and approval process and apply from their recorded effective date; already-posted amounts are corrected through traceable adjustments, not silently rewritten. No unlisted fee is created merely by accepting these website Terms.

7. COD and payouts A delivered order does not mean COD has been received or is available for payout. Availability depends on reconciliation, recorded charges, reserves, holds, verification and the applicable payout policy. Currency, minimums, schedules and transfer costs are specified in your agreement. Payout account changes require security checks and may have a cooldown. Notify us of unauthorized changes immediately.

8. Data and confidentiality The Privacy Policy explains our processing of personal information. You must have a lawful basis to share recipient and staff data. Each party must protect confidential business information and use it only for agreed services, legal obligations or authorized purposes. A separate data-processing agreement applies where required by the parties' roles.

9. Suspension, termination and continuity We may restrict access proportionately where needed to address fraud, security, unlawful products, material non-payment or contractual breach. Where lawful and practicable, we will explain the reason and a remediation path. Termination, inventory retrieval, outstanding orders, record exports and final reconciliation follow the service agreement. Termination does not erase valid accrued obligations or mandatory record-retention duties.

10. Responsibility, applicable law and disputes These Terms are governed by applicable UAE federal law and the applicable laws of the Emirate in which the contracting operator is licensed, subject to any mandatory law. Competent UAE courts have jurisdiction unless a separately signed, lawful dispute-resolution agreement applies. Nothing excludes liability or rights that cannot lawfully be excluded, including applicable consumer protections. Service-specific liability limits, insurance and claim arrangements must be expressly agreed and reasonable under applicable law; there is no blanket waiver for our own unlawful conduct. Raise complaints through the contact above with your client/order reference. We will assess the complaint and communicate the next steps without restricting access to competent authorities. Overseas clients remain responsible for their home-country business obligations; obtain advice where necessary.

11. Document changes, language and acceptance We publish dated versions. Material changes will be communicated through an appropriate channel and require renewed agreement where applicable. Registration acceptance records the exact published Terms and Privacy Policy versions and timestamp. Later updates do not replace that historical record. These Terms do not override a separately signed service agreement where that agreement expressly governs the same issue, or mandatory UAE rights. We will provide required Arabic information or contractual wording wherever applicable law requires it; an English-language business portal does not waive that obligation.

12. Selling to end customers Unless separately agreed, you remain the seller to your customers and responsible for required licences, truthful advertising, customer notices, lawful pricing/tax information and statutory cancellation, return, warranty and refund obligations. Operational fulfilment or RTO procedures do not override customers' mandatory rights. We are not a payment-services licence substitute or a guarantee of sales, margin or business success. Each party remains responsible for its own legal obligations.
